Delivery is deemed complete once access is granted, regardless of whether the product is accessed, downloaded, or used.

5. Payments, Pricing, and Taxes

• All prices are listed in U.S. dollars

• Payment is due in full at the time of purchase

• You are responsible for any applicable taxes

• We reserve the right to correct pricing errors, refuse service, or cancel orders prior to delivery

6. Strict No-Refund Policy

ALL SALES ARE FINAL.

Due to the nature of digital products and immediate access:

• No refunds, returns, exchanges, or cancellations are permitted

• This applies regardless of usage, satisfaction, or perceived value

• Chargebacks for valid purchases constitute a material breach of these Terms

Refunds are issued only if required by applicable law.

7. License Grant and Use Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable license for:

You may not, under any circumstances:

Violation results in immediate termination without refund and may trigger legal action.

8. Intellectual Property Ownership

All content, including but not limited to text, frameworks, assessments, videos, templates, trademarks, logos, and methodologies, is the exclusive intellectual property of Ascendare Group LLC.

No rights, title, or ownership are transferred under any circumstance.

9. Professional and Educational Disclaimer

Nothing constitutes legal, financial, medical, accounting, HR, or professional advice. You assume full responsibility for decisions made using the content.

We expressly disclaim any duty of care beyond providing access to the materials.

10. No Warranties or Guarantees

11. Limitation of Liability

12. Indemnification

You agree to defend, indemnify, and hold harmless Ascendare Group LLC from all claims, losses, damages, liabilities, costs, and expenses arising from:

• Violation of these Terms

• Violation of any applicable law or third-party rights

13. Account Suspension and Termination

We reserve the unilateral right to suspend or terminate access without notice for:

• Breach of these Terms

• Fraudulent activity

• Abuse of services

• Intellectual property violations

Termination does not relieve payment obligations.

14. Third-Party Tools and Links

We are not responsible for third-party services, integrations, or linked content. Use of third-party tools is at your sole risk and governed by their terms.

15. Governing Law and Exclusive Venue

These Terms are governed by the laws of the State of Maine, without regard to conflict-of-law principles.

You agree that exclusive jurisdiction and venue for any dispute lies in state or federal courts located in Maine.

16. Mandatory Informal Dispute Resolution

Before filing any claim, you agree to provide written notice and allow at least 30 days for informal resolution.

Failure to do so constitutes waiver of the claim to the extent permitted by law.

17. Waiver of Class Actions

You agree that any dispute will be conducted on an individual basis only. You waive the right to participate in any class, collective, or representative action to the extent permitted by law.

18. Severability and Survival

If any provision is held unenforceable, the remaining provisions remain in full force.

Sections relating to IP, liability, indemnification, dispute resolution, and governing law survive termination.

19. Entire Agreement

These Terms, together with the Privacy Policy and Digital Products Policy, constitute the entire agreement between you and Ascendare Group LLC and supersede all prior communications.
